By accessing and using IMG Marker Studio ("Service", "Platform", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your use of our professional image annotation platform designed for computer vision and machine learning projects.

IMG Marker Studio provides a cloud-based platform for:

• Professional image annotation and labeling for computer vision projects
• YOLO format dataset creation and management
• Bounding box annotation tools with multi-class support
• Team collaboration features for annotation projects
• Cloud storage and synchronization of annotation data
• Export capabilities for machine learning model training

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

4.1 Plan Types

• Free Plan: Limited to 1 project with basic annotation features
• Pro Plan: Unlimited projects, advanced features, priority support

4.2 Billing Cycles

• Monthly: $30 per month, billed monthly
• Yearly: $300 per year (17% savings), billed annually

4.3 Free Trial

New users are eligible for a 14-day free trial of the Pro plan. The trial is available only once per user and requires a valid payment method. You will be charged at the end of the trial period unless you cancel before the trial expires.

4.4 Payment and Refunds

• All payments are processed securely through Stripe
• Subscriptions automatically renew unless cancelled
• Refunds are provided on a case-by-case basis at our discretion
• You may cancel your subscription at any time through your account settings

5.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Activities

You may not:

• Upload, annotate, or process illegal, harmful, or copyrighted content without permission
• Attempt to gain unauthorized access to the Service or other users' accounts
• Use the Service to harass, abuse, or harm others
• Reverse engineer, decompile, or attempt to extract source code
• Use automated tools to access the Service without permission
• Violate any applicable laws or regulations

6.1 Your Data

You retain ownership of all images, annotations, and project data you upload to the Service. We do not claim ownership of your content.

6.2 Data Processing

By using the Service, you grant us permission to process, store, and backup your data as necessary to provide the Service. We implement appropriate security measures to protect your data.

6.3 Data Export and Portability

You can export your annotation data at any time in standard formats including YOLO format. Upon account termination, you have 30 days to export your data before it may be deleted.

We strive to maintain high service availability but cannot guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Technical difficulties or system failures
• Third-party service disruptions
• Force majeure events

We are not liable for any losses resulting from service interruptions.

8.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through the platform settings.

8.2 Termination by Us

We may terminate or suspend your account immediately if you:

• Violate these Terms of Service
• Engage in prohibited activities
• Fail to pay subscription fees
• Use the Service in a way that harms our systems or other users

8.3 Effect of Termination

Upon termination, your access to the Service will cease immediately. You will have 30 days to export your data before it may be permanently deleted.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL IMG MARKER STUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the platform. Continued use of the Service after changes constitutes acceptance of the new Terms.
